Circlo Inc. Terms of Use
The intention of Circlo is to facilitate networking, promotion and trade among providers of goods and services with use of mutual credit. Application does not guarantee acceptance. You must be 18 years of age or older to use Circlo.
Services
Circlo provides direct online connection between members. Circlo endeavors to facilitate communication, collaboration and trade among members by providing online communication, advertising and marketplace and transaction services. Circlo facilitates transactions in a mutual credit system by means of a mutual credit accounting and transaction system enabled by software application.
You agree to price goods and services at fair market value and to provide normal level of service.
You shall not post or communicate about illegal, offensive or prohibited goods or services on Circlo. Circlo can revoke membership and access to Circlo to any person or party who post, communicate or attempt to trade or transact about illegal, offensive or prohibited items or activities.
Circlo is not responsible for service quality, quality of items offered, delivery or dispute between members, does not warranty items advertised or identity of members and is not responsible for the completion of transactions between members. However, complaints received by Circlo about particular members about such matters are given consideration and can be grounds for termination of a member's account and membership.
Financial information
Circlo collects financial information from you for the sole purpose of delivering services and fulfilling membership obligations.
Circlo does not access or store members' financial information. Circlo's payment fulfillment provider is Stripe. When you submit credit card, debit card, bank account and other financial information, this information is sent from Circlo to Stripe via SSL security protocol and handled and stored by Stripe. Circlo personnel does not access the financial information provided by you to Circlo.
Membership Fee and Payments
Participation in the Circlo trade circle requires that you have a membership with a barter account. Fees are as posted on the Circlo website.
You agree to provide financial information such as credit card, debit card and bank account information for the purpose of paying fees to Circlo. You agree to pre-authorized payment to Circlo for payment of fees. You agree that in the case that you exit the barter exchange with a negative barter account balance or owing barter units to other member(s) that you pay Circlo and/or the member(s) the barter units owed the equivalent amount in national currency.
Subscription fees are due at the start of the subscription period such as on the first day of the monthly or yearly billing period.
You are responsible for all charges resulting from disputes. Members are responsible for finding resolution in the case of dispute between members.
You are required to be up to date with payments at all times.
Communication
The communication service is comprised of messaging, profiling, and reviews and ratings for purposes of communication and collaboration.
Contact information is provided by you voluntarily to Circlo and other members. Communications are entered into by you on a voluntary basis.
Trade Circle Marketplace
The Circlo Trade Circle is a marketplace in which a mutual credit, barter unit payment and transaction system is available. The barter account enables payment and transaction in barter units, CadB, between Trade Circle members. The postings are created in the general Marketplace.
The trade circle is comprised of members' barter unit accounts, marketplace, webshops, shopping cart, advertisement and communication services.
You can post items for sale in the marketplace in any mix of national currency and barter units, CAD + CadB i.e. Canadian dollars and barter units referencing Canadian dollars.
Barter units are automatically transferred from the buyer's to the seller's barter unit account when using the shopping cart for selling and buying. Buyer's barter account will be debited and seller's barter account will be credited the amount of the purchase/sale. Barter transactions are also possible by sending and receiving barter units between members without the shopping cart. You can transfer and accept transfers of barter units to/from other members as gifts, donations, sales transactions or otherwise.
Mutual Credit System
As a Circlo Trade Circle member, you are provided with a mutual credit barter unit account and access to the Circlo modern barter system. The barter account system keeps track of the barter unit value of members' transactions in members' barter unit accounts. Buyer and seller arrange for delivery of item. Pricing and transactions made in national currency are conducted by members outside the mutual credit system.
Your barter account begins with zero balance. Accepting payment in barter units increases the balance of your barter account, making payment in barter units decreases the balance of your account.
The barter account system uses the Circlo barter unit, CadB. CadB references the Canadian dollar, CAD. One barter unit, CadB, is defined as having the equivalent value of one Canadian dollar, CAD.
CadB is a unit of account and has no value outside of Circlo. The unit of measure for the barter unit is provided by the national currency.
The barter unit is not legal tender, security or commodity and cannot be redeemed for national currency or other currency.
Taxes
Sales made in barter units are taxable. Members are responsible for the proper application of taxes and handling of sales and income resulting from activity in Circlo.
Proprietary Rights
You are responsible for ensuring there is no infringement of proprietary rights including on intellectual property, copyrighted material and trademarks in the profile, advertisement and webshop postings and any communication as a member. When using image or text created by someone else, be sure that you have permission from the creator or rights owner. Member cannot encourage others to infringe on proprietary rights nor deny responsibility for items offered including as to their authenticity.
Member will not reverse engineer the software used by Circlo. Doing so can result in revoking of membership.
Suspension and Termination
You or Circlo can terminate this agreement with fifteen (15) days written notice via messaging on the platform.
Barter units have no cash value and no value outside of Circlo. Members with accounts with positive balance at the time accounts are closed lose their barter units.
Your obligation and indemnification of Circlo survives termination of Agreement.
Circlo has sole discretion to terminate this agreement and to place your account in immediate suspension for reasonable causes including overcharging, poor service, fraud with other members, unprofessional behaviour with other members or with Circlo and breach of agreement. Members found to be inflating prices will receive one warning.
If you exit or your account becomes non-performing with a negative barter unit balance, or owing barter units to other members, Circlo or other, you agree that this amount is to be made as a payment to the party or parties owed in equivalent amount of national currency. For example, if you owe 1 CadB or have –1 CadB in your barter unit account when it becomes non-performing, you pay 1 CAD to Circlo or the parties owed.
Circlo has the right to close any barter account and to charge the member account holder amounts due in equivalent national currency such as Canadian dollars.
Data we store and Privacy
We store member data on secure servers. We may transfer data between secure servers as necessary for business operations. We retain data as needed for our business purposes and/or as required by law. You can access, make corrections, update, and delete certain data about yourself via your account profile and postings. As certain information is necessary for proper membership functioning, this can necessitate the termination of membership. We will not sell your data and will not share it in a way such that members can be reasonably identified.

We may disclose user data:
• to vendors and service providers (such as Stripe, Circlo's subscription processor) working on our behalf
• to respond to subpoenas, search warrants, court orders, or other legal process
• to protect our rights, property, or safety, or that of users of Circlo or the general public
• with your consent, that is, if you authorize us to share data with other parties
• in connection with a merger, bankruptcy, or sale/transfer of assets
• in aggregate/summary form, where it cannot reasonably be used to identify you
Sending messages
Emails, text messages or messages via Circlo messaging we send to you for information or marketing purposes will be clearly identified. You will have the choice on each message to unsubscribe.
Other
You indemnify Circlo regarding any debt, claim or liability arising from a transaction. Circlo is not the guarantor of Circlo barter units.
You agree to comply with relevant data such as the EU’s General Data Protection Regulation (GDPR) and Canada's Personal Information Protection and Electronic Documents Act (PIPEDA) in your dealings as a member of Circlo.
Circlo complies with sanctions imposed by Canada. Members have the responsibility of complying with applicable sanctions in all relevant jurisdictions such as the country in which you live or operate. Circlo may cancel listings and transactions that risk violating sanctions.
Circlo reserves the right to deny applications for membership and to cancel membership to any party.
Circlo Inc., also known as Circlo, is a limited liability federal corporation incorporated in Canada. This Agreement is governed by the applicable laws of Canada. Parties agree that the federal court located in Toronto, Ontario shall determine any dispute related to this Agreement.
Changes made by Circlo to Terms of Use of your membership will be communicated to you by Circlo via internal messaging.
